Beta Notice: Revive is currently in beta. These Terms may be updated as the service evolves. Material changes will be notified via the Service or email.
1. Introduction
Welcome to Revive (リバイブ) ("Service", "Platform", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the Revive platform available at https://revive.sg and any related services.
The Service is operated by The Brand Canvas Pte. Ltd. ("Company"), a company incorporated in Singapore.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
2. The Service
Revive is a B2B matchmaking platform that connects users in Singapore's food & beverage (F&B) industry, allowing them to:
- List and discover second-hand restaurant properties (居抜き物件)
- List and discover second-hand restaurant equipment (中古備品)
- Promote and discover industry events (イベント)
- Communicate with other users via in-platform chat
- Save listings to a personal wishlist
2.1 Platform Role (Important)
Revive operates solely as a listing and matchmaking platform. We do not:
- Own, sell, lease, or transfer any of the listed items
- Act as a party to any transaction between users
- Verify the accuracy of listings beyond reasonable measures
- Guarantee the quality, condition, legality, or availability of any listing
- Process payments between users
- Mediate disputes between users (though we may take action against policy violations)
All transactions, contracts, payments, deliveries, inspections, and dispute resolutions are the sole responsibility of the users involved.
3. Eligibility and Account Registration
3.1 Eligibility
To use the Service, you must:
- Be at least 18 years old
- Have the legal capacity to enter into binding contracts
- Be acting on behalf of a legitimate business or as an individual professional in the F&B industry or related sectors
- Not be barred from using the Service under Singapore law
3.2 Account Information
When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information promptly
- Keep your password confidential
- Notify us immediately of any unauthorized access
- Be responsible for all activities under your account
3.3 One Account Per Entity
Each user or business entity may maintain only one active account unless explicitly authorized by us.
4. User Conduct and Listing Rules
4.1 Permitted Listings
You may only list items, properties, or events that:
- You legally own or are authorized to list on behalf of the owner
- Comply with all applicable laws of Singapore
- Are accurately described with truthful photos and information
- Are genuinely available for the purpose stated
4.2 Prohibited Conduct
You agree NOT to:
- Post false, misleading, fraudulent, or deceptive listings
- List items, properties, or events that are illegal, stolen, counterfeit, or infringe on third-party rights
- List items that violate health, safety, or hygiene regulations applicable to F&B
- Misrepresent your identity, affiliation, or business status
- Use the Service to harass, threaten, defame, or discriminate against any user
- Attempt to circumvent the platform to avoid fees (if applicable in future)
- Scrape, crawl, or extract data from the Service without written permission
- Reverse-engineer, decompile, or attempt to access the source code
- Upload viruses, malware, or any code intended to damage the Service
- Use the Service for any unlawful purpose
- Solicit users for activities unrelated to the Service's purpose
- Create multiple or fake accounts
- Engage in money laundering, terrorist financing, or other financial crimes
- Violate Singapore's PDPA when handling other users' personal data
4.3 Content Standards
All content (text, photos, videos) you submit must:
- Be your own or used with proper authorization
- Not contain offensive, obscene, or inappropriate material
- Not infringe intellectual property rights of others
- Not contain personal data of third parties without their consent
5. License to Your Content
By submitting content to the Service (listings, photos, descriptions, messages), you grant Revive a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, store, reproduce, modify (for formatting/display), display, and distribute your content solely for the purpose of operating, promoting, and improving the Service.
You retain all ownership rights to your content. You are solely responsible for the content you submit.
6. Intellectual Property
6.1 Our IP
The Service, including its design, code, logos, text, graphics, and trademarks (including "Revive", "リバイブ", and the Revive logo), is owned by The Brand Canvas Pte. Ltd. and protected by Singapore and international intellectual property laws.
6.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purpose. This license does not allow:
- Commercial reproduction
- Redistribution
- Creation of derivative works
- Removal of any copyright or proprietary notices
7. Communications and Chat
7.1 In-Platform Chat
The Service provides a chat function for users to communicate. You agree to:
- Use chat only for purposes related to the Service
- Not send spam, unsolicited promotions unrelated to a listing, or abusive content
- Not share another user's chat content publicly without consent
- Comply with Singapore's Spam Control Act 2007
7.2 Monitoring
We do not actively monitor private chats but reserve the right to investigate reports and take action against violations.
8. Wishlist Feature
The wishlist feature allows you to save listings for personal reference. Wishlist data is private to your account and synchronized via your authenticated session.
9. Disclaimers
9.1 "As Is" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.
9.2 No Verification
We do not verify the identity, business legitimacy, financial standing, or claims of any user. You interact with other users at your own risk. We strongly recommend:
- Verifying business credentials independently
- Inspecting properties and equipment in person before transactions
- Using formal contracts for all transactions
- Consulting professionals (lawyers, accountants, surveyors) for significant transactions
9.3 Beta Status
The Service is in beta. Features may change, fail, or be removed without notice. Data loss, downtime, and bugs may occur.
9.4 Third-Party Services
The Service relies on third-party providers (e.g., Supabase, Vercel, GoDaddy). We are not responsible for outages or issues caused by these providers.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY SINGAPORE LAW:
- Revive and The Brand Canvas Pte. Ltd. shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service.
- Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed SGD 100 or the amount you have paid us in the past 12 months (whichever is greater).
- We are NOT liable for the actions, content, or transactions of other users.
Nothing in these Terms excludes liability that cannot be excluded under Singapore law (e.g., fraud, gross negligence causing personal injury).
11. Indemnification
You agree to indemnify and hold harmless The Brand Canvas Pte. Ltd., its directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms
- Your content or listings
- Your interactions with other users
- Your violation of any law or third-party rights
12. Account Suspension and Termination
12.1 By You
You may delete your account at any time via the account settings or by contacting us. Some data may be retained as required by law or for legitimate business purposes (see Privacy Policy).
12.2 By Us
We may suspend or terminate your account at our sole discretion if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Pose a risk to other users or the Service
- Have been inactive for an extended period
We will provide notice where reasonable, except in cases requiring immediate action.
12.3 Effect of Termination
Upon termination:
- Your access to the Service ends
- Your listings may be removed
- These Terms remain in effect for any obligations that survive termination (e.g., intellectual property, indemnification, limitation of liability)
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via:
- Email to your registered address
- A prominent notice on the Service
- An updated "Last Updated" date
Continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
14. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with Singapore's Personal Data Protection Act 2012 (PDPA).
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
16. Dispute Resolution
Before initiating legal action, the parties agree to attempt to resolve disputes amicably:
- Direct Communication: Contact us at hanae@thebrandcanvas.sg with details of the dispute
- Good Faith Negotiation: We will respond within 14 business days to seek resolution
- Mediation: If unresolved, the parties may agree to mediation through the Singapore Mediation Centre
- Court Action: If still unresolved, proceed to the courts of Singapore
17. Miscellaneous
17.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and Revive regarding the Service.
17.2 Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
17.3 No Waiver
Our failure to enforce any right or provision is not a waiver of that right or provision.
17.4 Assignment
You may not assign your rights under these Terms without our written consent. We may assign our rights to a successor entity (e.g., in a merger or acquisition).
17.5 No Agency
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Revive.
17.6 Force Majeure
We are not liable for failure to perform due to circumstances beyond our reasonable control (natural disasters, government actions, internet outages, etc.).
17.7 Language
These Terms are written in English. Any translation is provided for convenience only; the English version prevails in case of conflict.
